Evolve Tech provides:

  • AI-powered video production
  • Creative direction, scripting, editing, and post-production
  • Marketing and advertising video assets
  • Custom AI workflows and automation

All services are: Delivered digitally unless otherwise agreed; Defined by a proposal, contract, or Statement of Work (SOW)

3. Eligibility

You confirm that:

  • You are at least 18 years old
  • You have legal authority to enter into agreements
  • You represent a business/entity with proper authorization (if applicable)

4. Engagement & Scope

  • Work begins after agreement on scope, timelines, and pricing
  • Scope is defined in SOW/proposal
  • Any additional work is billable separately

5. Payment Terms

Payments may be in USD or INR

Typical structure:

  • 30%–50% upfront
  • Balance before final delivery

Late Payments:

  • May result in service suspension
  • Interest up to 2% per month may apply

International Clients:

You are responsible for: Bank fees; Currency conversion charges; Applicable withholding taxes

6. Revisions

  • Limited revisions included (as per SOW)
  • Extra revisions are chargeable
  • Delayed feedback may delay delivery timelines

7. Intellectual Property

Ownership:

Full ownership transfers after complete payment. Until then, all rights remain with Evolve Tech.

Retained Rights:

We retain ownership of: Internal tools; AI systems/workflows; Frameworks and templates

Portfolio Use:

We may showcase work unless restricted in writing

8. AI Content Disclaimer

Our services use AI technologies. You acknowledge:

  • Outputs may not be fully unique or error-free
  • Similar outputs may exist
  • Final usage responsibility lies with the client

9. Client Responsibilities

You agree to:

  • Provide accurate and lawful content
  • Ensure rights to all materials provided
  • Review deliverables promptly

You are responsible for: Legal compliance of final content; Copyright/trademark issues

10. Prohibited Use

You may not use our services for:

  • Illegal or fraudulent purposes
  • Misleading or harmful content
  • Unauthorized deepfake or impersonation content
  • Violating third-party rights

We may refuse such work.

11. Confidentiality

Both parties agree to: Protect confidential information; Not disclose proprietary data

12. Warranties Disclaimer

Services are provided “as is”. We do not guarantee:

  • Business outcomes
  • Marketing performance
  • Platform-specific results

13. Limitation of Liability

Our liability is limited to: Amount paid for the specific service

We are not liable for: Indirect damages; Loss of profits, data, or reputation

14. Indemnification

You agree to indemnify Evolve Tech against: Claims from your content; Legal violations; Third-party disputes

15. Termination

We may terminate if: Payments are not made; Terms are violated

Client may terminate: With written notice; Payments remain non-refundable for completed work

16. Refund Policy

No refunds after work begins. Partial refunds at discretion.

17. Force Majeure

We are not liable for delays due to: Natural disasters; Government actions; Technical disruptions

18. Governing Law

Governed by laws of India. Jurisdiction: New Delhi

19. Dispute Resolution

Attempt mutual resolution first. Then arbitration under Indian law.

20. Updates

We may update these Terms. Continued use implies acceptance.
